Proofpoint, the cybersecurity company owned by private equity firm Thoma Bravo, agreed to buy data security specialist Varonis for about $6.3 billion. Varonis shareholders will receive $49.75 per share in cash, a 52% premium to the price before sale rumors surfaced in June, SecurityWeek reported. SecurityWeek called it the largest cybersecurity acquisition announced so far in 2026.
After closing, the companies plan to build a unified platform for data and AI security. "Today begins an exciting new chapter for Varonis and our customers," said Varonis CEO Yaki Faitelson. Proofpoint expects the deal to close in the first quarter of 2027, subject to regulatory approvals, after which Varonis will be taken private.
